Title: Multilevel Political Embeddednessand Corporate Strategic Discretion:A Study of Chinese Firms’ industry exit

Abstract：

While social embeddedness can provide the benefits of trust and in turn access to information and resources, it may also create obligations and constrain discretion. We propose that one way to reconcile the conflicting outcomes of embeddedness is to distinguish managerial level from organizational level social embeddedness. We develop this framework in the context of multilevel political embeddedness and corporate industry exit in China’s transitional market. We argue that when corporate leaders are embedded in the political system through their personal ties, they can utilize the political system to their firms’ advantage without being encumbered by the government’s expectations. But when firms are embedded in the political system through top executives’ political appointment, firms’ discretion is constrained by the government’s expectations despite the benefits received. Furthermore, we propose formality and visibility as the mechanisms through which different levels of political embeddedness have led to opposite organizational consequences. We found evidence for our argument by analyzing industry exit of Chinese publicly-listed and non-state-controlled firms from 2001 to 2010. Our study contributes to the social embeddedness perspective, corporate political activities, and research on corporate restructuring.

罗幼薇教授是欧洲工商治理学院(INSEAD，欧洲排名第一，全球排名第四)创新与企业治理系（Department of Entrepreneurship）的平生教授，罗幼薇教授于2000年毕业于美国斯坦福大学（Stanford University），获公司组织行为社会学博士。之后曾任美国伊利诺伊大学(Universityof Illinois at Urbana Champaign)商学院企业治理教授10年，并获得该校的平生教授。

罗幼薇教授的钻研侧沉于在新兴经济体下的公司战术，尤其侧沉于对创新性企业的全方位钻研，蕴含创新企业的治理，融资，国际化，组织设计。罗幼薇教授是目前国际上钻研新兴经济体下的创新企业最广、最深也是成就最多的教授之一。

罗幼薇教授对企业创新的钻研硕果累累，再三在世界最顶级的学术杂志如行政科学季刊(Administrative Science Quarterly)，治理科学(Organization Science),战术治理(StrageticManagement Journal),国际贸易钻研期刊(Journal of International Business Studies ),以及钻研政策(Research Policy)中颁发。罗幼薇教授陆续两次获得中国治理钻研协会(IACMR )最佳学术论文奖，她目前是五家国际顶级学术刊物的编委。其中蕴含治理科学(Organization Science)以及治理学评论(Academy of Management Review)，国际贸易钻研期刊(Journal of International BusinessStudies )。她也是中国治理钻研协会旗下组织治理钻研（Management and Organization Review）杂志的高级编纂。

罗幼薇教授时时为中国企业高层治理人员授课。自2006年起，罗幼薇教授先后屡次为中国工商银行总裁班，中国农业银行总裁班，中国银行总裁班，中国国度开发银行总裁班授课，在对中国企业高管的培训中，中西并用，科研与实际结合，堆集了丰硕的经验，受到如中国工商银行总裁等企业高管的一致好评。罗幼薇教授也时时受邀在国内表驰名商学院（如美国沃顿，麻省理工，加拿约莫克，中国北大，清华等）讲学。罗幼薇教授陆续4年任长江商学院欧洲游学INSEAD培训部主任，以及上海中欧国际商学院(CEIBS)与欧洲工商治理学院（INSEAD）结合培训课程的主任。也曾任中国光大银行高管培训课程主任。

罗幼薇教授与企业维持亲昵的联系与合作，也是多家公司的董事以及征询照拂，如驰名的美国麦肯锡征询公司(Mckinsey & Company)。

罗幼薇教授原籍江西资阳，生于北京，长于成都，曾就读于上海复旦大学英美说话文学系(本科)和世界经济系(钻研生)。就读复旦大学期间，曾获得中国高校英文专业8级统考全国第一名。
